Approach update

On 30 June 2010, ATH Resources announced that it had received an approach to purchase ATH Regeneration, the part of the Group focused on coal recovery, land remediation and regeneration ("Regen").

The Board is aware that there has been a certain amount of speculation surrounding the approach and therefore advises that the approach is from a management team comprising, among others, Tom Allchurch and Steven Beaumont, the Group's Chief Executive and Group Finance Director respectively. A committee of independent directors has been appointed to review the approach. If the approach results in an offer being made for Regen and that offer is accepted, Alistair Black, Managing Director, would become Chief Executive and Non-Executive Chairman David Port would assume the role of Executive Chairman. In addition, during the period of transition, Steven Beaumont would continue as Group Finance Director to the Group and Tom Allchurch would provide his services to the Group as a Non-Executive Director.

The Group expects to make a further announcement shortly.
